1. Who we are

These Terms of Service govern your use of bikenzo.com and the BIKENZO terminal (the “Service”), operated by Stage Strategy GmbH, a limited liability company registered in Mölln, Germany. By creating an account or subscribing, you agree to these terms. If you do not agree, do not use the Service.

2. What the Service is

The Service provides access to a gated dashboard showing Bitcoin market data and a computed Global Liquidity Index derived from public data sources. It is provided for informational and educational purposes only.

The Service is not financial advice and we are not your adviser or fiduciary. See our Disclaimer, which forms part of these terms.

3. Eligibility and accounts

You must be at least 18 years old and legally able to enter into a contract. You must provide an accurate email address, keep your password confidential, and are responsible for all activity under your account. Accounts are for a single user; sharing credentials is a breach of these terms.

You must not use the Service where doing so would breach the law applicable to you, including sanctions and export-control laws.

4. Subscription, pricing and minimum term

Access requires an active paid subscription. Two plans are offered:

  • Monthly — USD 2,000 per month, billed monthly, with a minimum commitment of 12 months from the start date (a total of USD 24,000 across the committed term). After the minimum term, the subscription automatically renews month to month until cancelled.
  • Annual — USD 24,000 per year, paid upfront, covering 12 months from the start date, automatically renewing annually until cancelled.

All prices are in U.S. dollars and are exclusive of any taxes, duties, or levies that may apply, which are your responsibility. We may change pricing for future terms with at least 30 days’ notice before your renewal date; the price for your current committed term will not change.

5. Automatic renewal and cancellation

Your subscription renews automatically. Monthly subscriptions renew monthly after the 12-month minimum term; annual subscriptions renew annually. Your payment method will be charged automatically on each renewal date unless you cancel first.

You may cancel at any time from the billing page in your account. Cancellation is not immediate:

  • If you cancel during the minimum term, your subscription is scheduled to end on the last day of that term. Access and billing continue until then. You remain liable for the remaining committed payments.
  • If you cancel after the minimum term, your subscription ends at the end of the current billing period. Access continues until then.

The billing page always shows the exact date your cancellation will take effect before you confirm it.

6. Payment

Payments are processed by Stripe, Inc. Card details are entered on Stripe’s hosted checkout and are handled by Stripe. Stage Strategy GmbH does not receive, process, or store your full card details. Your use of Stripe is subject to Stripe’s own terms and privacy policy.

If a payment fails, we may suspend access until the amount due is paid. Persistent non-payment may result in termination, which does not discharge amounts already owed under a committed term.

7. Right of withdrawal (EU consumers)

If you are a consumer resident in the European Union, you have 14 days to withdraw from this contract without giving any reason. Full details, including how to withdraw and a model form, are in the withdrawal instruction, which forms part of these terms.

Because the Service is supplied digitally and immediately, we ask you at checkout whether you want it to start straight away. If you expressly request that and confirm that you thereby lose your right of withdrawal, the right ends once the Service has been fully supplied — that is the effect of §356(5) BGB and Article 16(m) of the Consumer Rights Directive. Giving that confirmation is your choice. If you decline it, your 14 days run in full and access begins once they have elapsed.

If you are not a consumer — that is, you are subscribing in the course of a trade, business, craft or profession — the right of withdrawal does not apply to you. You tell us which you are at checkout, and we record it.

9. Acceptable use and redistribution

Your subscription is a licence for one named user to view the Service. It is not a licence to redistribute what you see. You must not:

  • publish, post, stream, broadcast or otherwise make public the Global Liquidity Index, its values, or screenshots, recordings or charts of it — including on social media, in group chats, newsletters, trading rooms, Discord or Telegram channels, or any other forum;
  • share, resell, sublicense or redistribute the Service or its data output to any third party, whether or not for payment;
  • share your login credentials, or allow anyone else to use your account;
  • scrape, mirror, or systematically extract data from the Service;
  • circumvent or attempt to circumvent the paywall or any access control;
  • reverse engineer the index or its composition for the purpose of building or assisting a competing service;
  • interfere with the operation, security, or availability of the Service.

10. Consequences of redistribution

If you breach section 9, we may terminate your account immediately and without notice, and no refund of any kind will be made. Amounts already paid are not refunded, and amounts still owed under your committed term remain payable. This applies to a single instance; we are not required to warn you first or to allow you to cure the breach.

The reason is straightforward. The index is the entire product. One subscriber publishing it supplies it, for free, to every person who would otherwise pay for it — so the damage is immediate and cannot be undone by stopping afterwards. The forfeiture is the agreed consequence of that damage, not a penalty we apply at whim.

We will tell you which of the acts in section 9 we consider you to have committed. We do this deliberately rather than reserving a right to terminate without giving reasons: a contractual right to act arbitrarily against a customer is unenforceable in a number of the jurisdictions we sell into, and a clause that a court strikes out protects nobody. Tying termination to an identified breach is what makes this section hold.

Nothing in this section limits any other remedy available to us, including an injunction and a claim for damages.

11. Intellectual property

The Service, its design, code, branding, and the construction of the Global Liquidity Index are owned by Stage Strategy GmbH. Your subscription grants you a limited, non-exclusive, non-transferable, revocable right to access the Service for your own internal use for the duration of your subscription. No other rights are granted.

Underlying public data remains the property of, and is subject to the terms of, its respective sources.

12. Availability

The Service is provided on an “as is” and “as available” basis. We do not warrant that it will be uninterrupted, timely, error-free, or that any data will be accurate or complete. We may modify, suspend, or discontinue any part of the Service. We depend on third-party data providers and are not responsible for their outages, changes, revisions, or withdrawal of data.

13. Limitation of liability

To the fullest extent permitted by law, Stage Strategy GmbH and its members, officers, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or trading losses, arising out of or relating to the Service, whether based in contract, tort, or any other legal theory, even if advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the Service shall not exceed the amount you paid to us in the twelve months preceding the event giving rise to the claim.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud.

14. Indemnity

You agree to indemnify and hold harmless Stage Strategy GmbH from any claim, loss, or expense (including reasonable legal fees) arising from your use of the Service, your breach of these terms, or your violation of any law or third-party right.

15. Termination

You may stop using the Service at any time, subject to section 5. We may suspend or terminate your access for breach of these terms or non-payment. On termination, your right to access the Service ends immediately. Sections 9 through 14 survive termination.

16. Governing law and disputes

These terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer, the mandatory consumer-protection provisions of the law of your habitual residence remain unaffected, and statutory venues apply. If you are a merchant (Kaufmann), a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction is the registered seat of Stage Strategy GmbH.

17. Changes to these terms

We may update these terms. Material changes will be notified by email or in the Service at least 30 days before they take effect, and will not apply retroactively to your current committed term. Continued use after the effective date constitutes acceptance.
